Up to the total number of 1,154 of the Group's employees in Germany, Czech
Republic, Spain, France, Poland, Italy and Switzerland will be offered Shares in the
aggregate maximum amount of EUR4,611,384.00 or, as the case may be, the next lower
amount that can be divided by the Offer Price without remainder in such a way that
each eligible employee are offered one Share for free for each Share they purchase
against payment of the Offer Price for each Share in cash, whereby this cash
purchase amount is limited to EUR1,000 or, at the choice of each employee, to EUR2,000
per employee. All Shares granted pursuant to this first tranche will be subject to a
lock-up period of twelve weeks beginning on the first day of trading of the Shares
on the Regulated Unofficial Market (Freiverkehr) of the Frankfurt Stock Exchange
(Frankfurter Wertpapierbörse) (Scale segment).
