On June 17, 2026, thyssenkrupp AG, as the transferring entity, and tk accelis Group AG & Co. KGaA, as the acquiring entity, entered into a demerger and acquisition agreement (hereinafter the "Demerger Agreement"). The demerger is carried out in exchange for the allocation of 31,126,587 new non-par value bearer ordinary shares of tk accelis Group AG & Co. KGaA from the capital increase in kind to the shareholders of thyssenkrupp AG. The allocation ratio is 20:1, meaning that shareholders of thyssenkrupp AG will receive one (1) share of tk accelis Group AG & Co. KGaA for every twenty (20) shares of thyssenkrupp AG.
